Welcome to Adstyr. These Terms of Service ("Terms") govern your access to and use of Adstyr's platform, services, and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you confirm that you:

• Are at least 18 years old
• Have the legal authority to enter into these Terms
• Will use the Service in compliance with all applicable laws
• Accept our Privacy Policy

2. Description of Service

Adstyr provides a platform that:

• Connects to your Facebook/Meta advertising accounts
• Analyzes and visualizes advertising performance data
• Generates AI-powered insights and recommendations
• Provides reporting and analytics tools

3. Account Registration

3.1 Account Creation

To use our Service, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized account access.

3.3 One Account Per User

Each user may maintain only one account. Duplicate accounts may be terminated without notice.

4. Facebook/Meta Integration

4.1 Authorization

By connecting your Facebook Ads account, you authorize us to access your advertising data through the Meta Marketing API in accordance with Meta's Platform Terms.

4.2 Your Responsibilities

You represent that you:

• Have authority to grant access to the connected ad accounts
• Comply with Meta's Advertising Policies
• Will not use our Service to violate any Meta terms or policies

4.3 Meta Platform Terms

Your use of data obtained through Meta's APIs is also governed by Meta's Platform Terms and Developer Policies. In case of conflict, the more restrictive terms apply.

5. Subscription and Payment

5.1 Subscription Plans

Our Service is offered through various subscription plans. Current pricing and features are available on our website.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice

5.3 Free Trials

Free trials, if offered, automatically convert to paid subscriptions unless cancelled before the trial ends.

5.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile any part of the Service
• Use automated tools to access the Service (except approved integrations)
• Share account credentials with unauthorized parties
• Resell or redistribute the Service without authorization
• Use the Service to compete directly with Adstyr

7. Intellectual Property

7.1 Our Rights

Adstyr and its licensors own all rights to the Service, including software, designs, trademarks, and content. Nothing in these Terms grants you ownership rights.

7.2 Your Data

You retain ownership of data you upload or connect to the Service. You grant us a license to use this data solely to provide and improve the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

8. AI-Generated Insights

8.1 Nature of Insights

Our AI-powered insights are generated using machine learning and are provided for informational purposes only. They do not constitute professional marketing, financial, or legal advice.

8.2 No Guarantee

We do not guarantee the accuracy, completeness, or usefulness of AI-generated insights. You are solely responsible for decisions made based on these insights.

9. Data Processing

Where we process personal data on your behalf (as a data processor), we will:

• Process data only according to your instructions
• Implement appropriate security measures
• Assist with data subject requests
• Delete or return data upon termination

A Data Processing Agreement (DPA) is available upon request for enterprise customers.

10. Confidentiality

We will treat your non-public business information as confidential and will not disclose it except as necessary to provide the Service or as required by law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Data will be accurate or complete
• The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Adstyr and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

14. Termination

14.1 By You

You may terminate your account at any time through account settings or by contacting support.

14.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice.

14.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. We may delete your data after 30 days unless legally required to retain it.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel. Any disputes shall be resolved exclusively by the competent courts in Tel Aviv-Jaffa, Israel, except that either party may seek injunctive relief in court.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Adstyr
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
